1. The Plaintiff:

A. Defendant Social Welfare Foundation A: 20,972,716 won and its related amount from October 22, 2015 to April 26, 2018

1. In principle, expenses incurred in entrusted operation (hereinafter referred to as “operating expenses”) shall be paid to corporations, admission expenses (such as principal charges, etc.) and other support payments that the defendant corporation presented at the time of application for entrustment. The plaintiff shall pay operating expenses to the defendant corporation through the National Health Insurance Corporation and Seoul Metropolitan Government subsidies, etc. or directly by the plaintiff to the defendant corporation within budgetary limits in accordance with relevant laws and regulations.

(2) The calculation of annual operating expenses incurred in entrusted operation shall be made after the plaintiff examines a business plan of defendant corporation.

Article 9 (Property Management) (1) The defendant corporation shall manage and preserve the entrusted property with due care as a good manager, and shall be responsible for maintenance, management, such as renovation and repair.

(5) Where a defendant corporation acquires property in connection with the operation of sanatoriums, it shall immediately transfer the property to the plaintiff, and the procedures for attribution shall be governed by the Geumcheon-gu Seoul Metropolitan Government Ordinance on Public Property

Article 10 (Duties and Matters to be Observed by Trustee) (3) The defendant corporation shall, in relation to the operation of a sanatorium, perform the duties with respect to the matters that the corporation transferred to a corporation and provided other duties to the plaintiff.

(4) A defendant corporation shall comply with orders and dispositions under social welfare-related Acts and subordinate statutes, such as the Social Welfare Services Act, the Enforcement Decree and the Enforcement Rule of the same Act during the period of entrustment

(5) No defendant corporation shall delay or unreasonably perform administrative affairs in the course of performing its business and shall demand necessary documents from users, persons concerned, etc. or collect expenses unfairly.

Article 11 (Restrictions on Re-entrustment) (1) Unless the plaintiff's prior consent is obtained, the defendant corporation shall not transfer or re-transfer to a third party all or part of the rights and obligations under the contract with the plaintiff.
