1. The Defendant’s KRW 90,400,000 and the Plaintiff’s annual rate of KRW 6% from January 21, 2011 to June 12, 2015.

1. Basic facts

A. On January 14, 2010, the Plaintiff entered into a contract to produce and supply two remaining bridges for marine park (hereinafter “instant remaining bridge”) to the Defendant (hereinafter “instant supply contract”) and its main contents are as follows.

Construction amount: The construction period of KRW 364,000 (excluding value-added tax): January 14, 2010; from March 31, 2010 to March 31, 2010: the payment period shall be observed in addition to natural disasters or reasons recognized by the defendant; when the payment period is delayed, five percent of the construction amount shall be borne by the plaintiff for every ten days of delay.

B. The defendant and the plaintiff mutually agree to prepare the first written agreement for the acquisition and transfer of the remainder of this case as follows.

Article 1. Amendment of Contract Price

1. The highest contract amount for the two remaining schools is KRW 364,00,000 (VAT separate), and the additional amount arising from the additional construction is KRW 15,00,000.

2. The additional amount arising from the extension of the time for underwriting shall be seventy thousand won; and

3. Therefore, the total amount shall be 449,000,000 won.

Article II Balance Payment and Guarantee Securities

1. The amount that the Defendant paid to the Plaintiff is KRW 285,00,000 (VAT separate), and the final remainder that the Defendant is obligated to pay to the Plaintiff according to this agreement is KRW 164,00,000.

2.The payment method for the balance shall be as follows:

The defendant shall preferentially pay to the plaintiff KRW 50,000,000 until November 4, 2010 in order to prepare for two transfer and takeovers of the remaining schools.

B. The remainder remainder shall be paid by the Defendant to the Plaintiff within 15 days after the date of the transfer (within November 22, 2010).

C. Value-added tax on the total amount under this Agreement is KRW 36,400,000, and the Defendant shall pay to the Plaintiff by January 20, 2011.

Article 3 Time and Place of Transfer

1. The time of transfer shall be November 6, 2010 after the completion of the Defendant’s inspection; and the time of transfer shall be the place in which the Defendant wants (the vicinity of a funeraldo and Marine Park).

2. The delay of remaining works: Provided, That this shall be due to the delay of construction works;
