1. The Defendant (Counterclaim Plaintiff)’s appeal against the instant principal lawsuit and counterclaim and the ancillary counterclaim added at the trial.
1. Basic facts
A. On June 1, 2005, the Plaintiff is a company established on June 1, 2005 and engaged in real estate sales agency business, real estate management agency business, etc. (2) The Defendant is a company established on June 5, 1990 and engaged in housing construction business, real estate sales and lease business, etc., and transferred the location of its head office on June 27, 2014 to the “420,14 (on the border water of Seocho-gu, Seocho-gu, Seoul, the 213, and the 5th floor (Yyang-dong, the 3th floor) as Seoul.”
B. On June 20, 1994, the Defendant newly built a main apartment building B, a main apartment building of 4 underground and 18th floor above ground (hereinafter “instant building”). The main apartment building from 1st to 5th floor below ground (hereinafter “instant commercial building”) is divided into 30 to 40 units for each floor of 1st and 3rd floor below ground, and only 13 units of underground floor, 9, 9, 9, 5, 23 units of 23 units of 1st and upper floor were sold. The remaining units after sale were registered in the name of the Defendant, and the entire status of the instant commercial building was the public room because the individual units of 1st and upper floors were not occupied.
C. The Defendant: (a) concluded a sales service contract between the Plaintiff and the Defendant for the sales of the fifth floor among the instant commercial buildings; and (b) arranged the existing buyers who already sold part of the instant commercial buildings owned by the Defendant, which were unsold in lots, through the purchase of their ownership shares; and (c) planned to sell or lease the instant commercial buildings in a lump sum by attracting hospitals, etc. by integrating each floor, and (d) decided to sell or lease them in a manner that attracts the hospital, etc. on June 2012; and (e) purchased or leased them by the Plaintiff, as to the instant commercial buildings, by conducting a pre-sale work for arranging the pre-sale buyers (a negotiation to receive a sales delegation from the buyer or to enable the Defendant to purchase the shares owned by the buyer).
