A. On October 1, 2014, the Plaintiff entered into a service agreement with the Defendant to hold an extraordinary general meeting on October 18, 2014 relating to the instant service agreement, and the main contents thereof are as follows.

(hereinafter referred to as the “instant service agreement”. Under the following, Gap refers to the defendant Eul and Eul respectively to the plaintiff). Article 1 (Purpose) A of the service agreement entrusts Eul with the service affairs under “Special General Meeting of October 18, 2014” in relation to the A apartment reconstruction project.

Article 2 (Service)

1. Title of service: Provision of services related to the extraordinary general meeting of a A apartment housing reconstruction project association;

2. Scope of services: All the affairs related to the general meeting, such as demands for a written resolution, public relations, education and management of public relations personnel;

2. Service performance period: From October 4, 2014 to October 18, 2014 (14 days), the service price under Article 3 (Amount of service and method of payment) shall be 123,060,000 won in relation to public relations personnel and other price of KRW 102,760,000 in KRW 20,30,000 (excluding value-added tax).

Article 4 (Terms and Conditions of Business)

1. This extraordinary general meeting shall require the affirmative votes of at least 1/2 of the members who have agreed to establish an association among 647 members (including those who have attended a written resolution) and shall meet at least 10/100 of their direct attendance;

b. 2. The office used by public relations personnel, such as the requisition for a written resolution, and the condition that Gap bears the necessary office equipment, equipment (tele, reproduction, book, etc.) and any other expenses incidental thereto while performing this service;

3. The production of a general assembly book shall be carried out by the maintenance enterprise of A, and the sending of registration and of a certified copy of register shall be paid by A, and the cost of holding a general assembly shall be borne by B, such as the printing cost, stenography, video recording, and notarized attorney-at-law cost.

5. Payment of the cost of services shall be made within seven days after the selection of the contractor, on condition that 100% of the cost of services related to promotional personnel shall be paid if the Assembly is unable to perform the conditions of the services due to failure to meet the gender and to meet the agenda items, and that 20% shall not be paid.
