1. The Defendants are jointly and severally and severally liable to Plaintiff A for 51,058,115 won and its related amount from February 15, 2014 to August 21, 2015.

Reasons

1. Basic facts

A. Defendant C is the owner of the building on land outside Mapo-gu Seoul E and one parcel (hereinafter “instant building”). On April 13, 2013, Defendant C concluded an agreement and exclusive contract with Defendant D, an outside director of the Plaintiff Co., Ltd. (hereinafter “Plaintiff”) with the following content:

(1) A (Defendant C) is responsible for the tenant’s reputation of the subject real estate, and the period of cooperation on documents concerning remodeling (large-scale repair)/lease. (1) B (Defendant D) bears the cost of constructing a half floor and constructing a new floor, remodeling (large-scale repair), remodeling (large-scale repair)/lease (large-scale repair)/rental (large-scale repair) of the subject real estate and takes the exclusive responsibility for the leased real estate per year.

(2항) ◎ 대수선(반지층과 1층, 2층 전부) ◎ 신축(약 7평) 내용 : 내부철거, H빔, 폐기물, 장비투입, 인건비, 나무철거, 담 철거, 마당 1차2차 철거, 미장, 정화조 100인조, 상하수도, 가스, 전기, 설계비 기타 등등 3, 4층 신축 정화조 배관/수도 입상 지원 3) 을은 대상 부동산의 리모델링 공사기간을 2013년 5월 3일에서 2013년 9월 2일까지 완료하고 준공은 행정상의 문제로 약 2013년 9월 10일까지 예정임. (3항) 4) 을은 공사상의 문제가 발생 시에는 모든 책임을 진다.

(4) (5) The total rent shall be 2.10 million won/ monthly 18.3 million won, subject to consultation with Gap and Eul. The costs of Eul used in paragraph (6)(2) of this Article shall be appropriated for this premium and shall not be able to request for all of them.

(8) 7) 3 and 4 shall be extended directly by Gap, and Eul shall provide for all convenience at cost. (9) 8) Eul shall bear a total of 19 million won, including design and supervision costs contracted with certified architect F, in advance, 14 million won, and five million won in the balance shall be paid by Gap upon completion of the remaining work.

B. On June 14, 2013, the Defendants: (a) extended the scope of the third and fourth floors of the instant building to the Plaintiff Company; and (b) changed the use thereof.
