(E) On April 28, 2011, the Plaintiff and the Defendant concluded a transfer and acquisition contract (hereinafter “instant contract”) with the following content.

The contract for the transfer and acquisition of magazines C and F (hereinafter referred to as the "magazine") between the plaintiff A (the defendant) and B (the "magazine") shall be concluded as follows:

1. The transferor will undertake all steps necessary to ensure that the transfer and acquisition of the magazines under this Agreement take place smoothly without delay on the responsibility of the transferor.

3. The transferor, even after the transfer, will cooperate in all necessary matters in good faith.
