(1) Within one month after the completion of this Agreement, F shall transfer control to the J and shall actively cooperate in all related operations. (2) The control method is the same manner as that of another member of the J, and accordingly, shall be purchased from the F, and the J shall be deemed to be in the same manner as that of other member companies. (3) The existing personnel of F following the transfer of control shall be newly re-employed from the J at their own will. (1) The J shall lend KRW 1.5 billion in cash to F. (2) The lending date shall be deposited into the following F account by January 28, 2011. (1) The lending period is as follows: the lending period: (2) the interest rate shall be 20% (20%) per annum; and (3) the payment shall be made after deducting six (6) months’ interest rate from the lending date:

* The payment date for the foregoing paragraph 1, one billion won shall be paid on January 28, 201, and five hundred million won shall be paid on the first day of the consignment control.

This part is written as several, and according to the witness I's statement, it seems to be written additionally on the day following the date of conclusion of the contract in this case.

4) If a loan has not been repaid within six months, the insured person who settled the amount of KRW 2 billion after the termination of six months after the transfer to the J of the goods held by the F shall be the final acceptance by the J of the goods settled at KRW 1.5 billion. 5) The calculation of the final acceptance price under the above-mentioned 4 shall be the amount converted into 12 times the monthly payment. 6) (3) If a F’s insured person under the above-mentioned 2(2) shall, in principle, be taken over by the branch offices among the F’s branches specified in Article 2(1), and the succession of employment shall be guaranteed.

Article 6 (Conditions for Re-Acceptance) For three years in the area in which the J takes over F's goods.
