1. Basic facts

A. On September 3, 2009, the Plaintiff entered into a business agreement and consignment agreement between the Plaintiff and the Defendant, and entered into a business agreement with the Defendant with the content that the Plaintiff would take charge of the system design, production, construction, installation, trial operation, A/S, and that the Defendant will take charge of business and marketing.

The main contents of the above Convention are as follows:

2. Items of business: Samsung Electronic and ELS wastewater treatment facilities; and

3. Allocation: plaintiff - System design, production and execution, installation trial operation, A/S defendant - Business and marketing.

4. Business method: The plaintiff produced and supplied to the defendant as OEM;

On July 2010, the Plaintiff provided all technical data necessary for the Defendant to conduct business and marketing. 2) On the other hand, the Defendant separated only back-lap wastewater generated from 4 lines within the Samsung Electronic TTPP (On the other hand, the Plaintiff was awarded a contract for construction of the water quality treatment system for recycling as raw water (SiO2 wastewater treatment system; hereinafter “instant wastewater treatment system”).

【General Matters of Contract】

3. Subject matter of a contract: Bak-lap W/W Reuse Syst (including guidance and supervision of electric machinery / Cyunfuge/Sft).

5. Contract term: Until October 30, 2010;

8. Defect bond: 10% of the contract amount.

9. Defect Guarantee Period: 2 years from the date of completion (Provided, That the NF shall be 1 year): After the completion of a trial operation, Samsung Electronic Delivery 12. The supply place: 30% of the contract, 60% of the supply/ installation, and 10% of the trial run (general conditions) after the trial run, shall be dealt with, and with, all matters related to the field, and the on-site agent (the site agent) shall be selected from the site agent (the technical qualification owner) who shall be responsible for the project, and shall be stationed at the site.

Article 10 (Partial Improvement of Construction Part and Costs) The execution of construction works shall be in conformity with the contents of the contract.
