Reasons

1. Basic facts

가. 피고는 2014. 4. 21. 원고와 주식회사 케이디웍스에게 고양시 일산서구 B 외 2필지 지상 C 오피스텔(이하 ‘이 사건 건물’이라 한다)의 분양대행을 위임하였는데(이하 ‘이 사건 분양대행계약’이라 한다), 그 주요내용은 다음과 같다.

이 사건 건물의 원활한 분양을 위하여 목적물 사업의 시행자는 피고(이하 ‘갑’이라 한다)이며, 원고와 주식회사 케이디웍스(이하 ‘을’이라 한다)를 이 사건 건물 분양을 위해 공동분양 대행사로 지정하여 아래와 같이 상업시설 분양대행 계약을 체결한다.

Article 4 (Period of Sales Agency) The period of performing the duties under this Agreement shall be as follows:

(1) Date of commencement: The date of completion on April 21, 2014: from the date of commencement to the date of completion of a sales contract by 100% of the subject matter within the target sale period, but the sales agency contract within the target sale period and the remainder at the time of completion of the lease shall remain effective. If this condition is not satisfied, the “A” shall pay the relevant sales commission only to “B” and the contract shall be reversed.

Article 5 [Methods of Conclusion of Sales Contracts and Receipt of Sales Price] (1) The sales contract affairs (including the receipt of sales price) for an object shall be conducted together with "A" and "B" at the place or the sales office of the object determined by "A".

Article 6 [Methods of Sales Fees and Incentives] (1) Sales fees under a sales agency contract for commercial buildings shall be as follows:

Fees for divided lease are fixed, and the fee is set at 2% rental rate between 202 and 209.
