Purport of claim and appeal
The first instance court.
1. Where the existing articles of incorporation of a corporation under Article 22 (Disposition of Fundamental Property) are sold, donated, leased, exchanged, or offered as security, or bear obligations, waives rights, or raise bonds, the approval of the Minister of Culture and Tourism shall be obtained with the consent of the general meeting B after the resolution of the board of directors;
Article 22 (Disposal of Fundamental Property) (1) Where a corporation intends to dispose of (sale, donation, or exchange) its fundamental property, it shall go through the procedures for permission to amend its articles of incorporation under Article 32.
(2) When intending to dispose of (sale, donation, exchange, or loan) the ordinary property of a corporation, consent of at least 2/3 of the registered directors at the board of directors shall be given.
Article 31 (Dissolution of Juristic Person) (1) When a juristic person intends to be dissolved, the board of directors shall pass a resolution with the consent of two thirds or more of the registered directors and obtain the consent of the B general meeting.
(2) The residual property of a corporation dissolved shall be donated to the State, a local government, or a corporation similar to a corporation with the approval of the Minister of Culture and Tourism.
