1. Basic facts
A. C Co., Ltd. (hereinafter “C”) 6 complexes and 12 complexes 1) C (hereinafter “C”)

)을 체결하였다. 2) C은 2013. 6. 12. 인천 남동구 E 아파트(이하 ‘6단지’라 한다) 입주자대표회의와 사이에 C이 위 6단지 내에 위치한 헬스장, 골프장, GX룸 등 휘트니스센터를 보증금 3,000만 원, 수선충당금 월 80만 원, 계약기간 2013. 6. 13.부터 2015. 12. 31.까지 위탁운영하기로 하는 위탁운영계약(이하 ‘이 사건 12단지 위탁계약’이라 한다)을 체결하였다.
B. On January 31, 2013, the Defendant entered into a contract with C to acquire the right to operate the Vice Center in the F apartment complex in Seongdong-gu Seoul Metropolitan Government, and paid the above acquisition amount to C, but C did not secure the above right to operate the Nice Center and did not return the said money to the Defendant. However, the Defendant filed a complaint against C’s representative director and executive officers on suspicion of fraud. (ii) G, the representative director of C, filed a complaint against the Defendant on suspicion of fraud. 2) G, who is the representative director of C, filed the instant six complex entrustment contract and the 12 complex Fice Center (hereinafter “each of each of the of the of the of the of the instant Hice centers”), which C had the operating rights under the instant six complex entrustment contract and the 12 complex entrustment contract, to compensate for the Defendant’s partial damage.
C. On April 28, 2014, the Plaintiff entered into the instant management right acquisition agreement between the Plaintiff and the Defendant with the Defendant as follows.
