1. Defendant E Co., Ltd.: (a) KRW 21,440,00 for Plaintiff A, KRW 10,200,00 for Plaintiff B, and KRW 840,00 for Plaintiff C, respectively.
In light of the following circumstances, Defendant F completed the registration of ownership transfer on the ground of sale on July 23, 2013, and the Plaintiffs’ assertion that the time for concluding the said transfer contract was specified as July 23, 2013, the time for concluding the said transfer contract should be deemed as July 23, 2013). The main contents are as follows.
The seller of comprehensive transfer/acquisition sales contract: E representative director: O for the F representative director
(a)The above seller and the buyer enter into a contract for transfer and purchase of all of the real property, facilities, and on the land, including machinery and equipment listed below, and all of the goodwills over the entire operation of the compost production factory operated by the seller and all of the licences:
(*) On the lower part of the above paragraph (a) above, the real estate of this case and the right to operate the factory of this case by Defendant E are included in the sale target assets.
(b)The purchase amount shall be paid as follows:
(1) Total purchase price: 1.35 million won. (2) The intermediate payment: 1.35 million won. (3) The intermediate payment: 2.65 million won. (4) The remainder shall be paid in a lump sum on or before August 23, 2013. < Amended by Presidential Decree No. 24674, Aug. 23, 2013>
- The remaining balance includes loans, etc. created on a sale product, and the remainder less loans, etc. from the remainder shall be paid at the same time as cancellation of the right to collateral security and the completion of the submission of the instrument of licensing.
