1. The Defendants’ position and role Defendant A served as a registration director on October 12, 2006 through October 12, 2009 and took charge of management, planning, financing, etc. from the F, a KOSDAQ-listed corporation (hereinafter “F”) established for the purpose of producing and selling plastic synthetic leather, and planning and selling sound records. Defendant B was an ordinary investor as the friendship of Defendant A.

2. The officers, employees, etc. of the defendant A and B-listed corporations or KOSDAQ-listed corporations in violation of the Securities and Exchange Act, who become aware of material information which is undisclosed to the public in connection with the business of the corporation concerned, and those who receive such information from them, shall not use or allow other persons to use the information in connection with the sale and purchase or any other transaction of securities

A. Defendant A’s violation of the Securities and Exchange Act, as a registration director of F on January 3, 2007, acquired important information that is not disclosed to the general public (hereinafter “instant information,” including the information on the issuance of new business and the decision on the issuance of new overseas bonds with warrants to secure funds necessary for the entry into new business (hereinafter “decision on the issuance of overseas bonds with warrants”) through F’s “acquisition of the right to useG clothing trademark” (hereinafter “the date of disclosure of the decision on the issuance of overseas bonds with warrants”): Defendant A’s disclosure of the instant information in violation of the said duty; Defendant A’s disclosure of the instant information to the general public (the date of January 31, 2007; January 8, 2007; January 2007; January 1, 2007).
