2. The costs of lawsuit shall be borne by the Plaintiff.

A. On June 1, 2014, the Plaintiff prepared a management consulting agreement with the Defendant (formerly: C Co., Ltd.) as follows (hereinafter “instant advisory agreement”); Nonparty D signed it as the representative of the Plaintiff; and Nonparty E as the representative of the Defendant respectively.

When the defendant in the management consulting contract (hereinafter referred to as "A") and the plaintiff (hereinafter referred to as "B") operate and raise their financial assets or investment funds as follows, the defendant in the management consulting contract (hereinafter referred to as "A") and the plaintiff (hereinafter referred to as "B") shall pay a prescribed consulting fee to B during the contract period and enter into the management consulting contract as follows

§ 2. The content of investment consulting B shall provide A with the following management consulting (hereinafter referred to as “consultation”)

(3) Comprehensive analysis and diagnosis of the types of investment targets and the appropriate timing of investment targets. (5) Provision of periodic management and financial reports on investment targets. (6) Provision of other data and information deemed necessary for the management and investment of financial assets. (3) Provision of information and consultation on consultation under Article 3 shall be conducted by telephone, oral, written, or other means.

Article 4. Consulting remuneration and time for payment (1) The payment shall be made every month as remuneration for consulting maintenance and payment (20,000,000 won) in order to support the effective implementation of the consulting activities related to the consulting during the contract period, and the payment shall be made in installments on the 15th day of each month.

2. Succes Fe: A shall pay 2% of the total amount of transactions as contingent remuneration within three business days from the date the investment is completed with respect to the investment cases for which A has consulted on the investment cases requested by B.
