1. The claim of this case is dismissed.
2. The costs of lawsuit shall be borne by the Plaintiff.
A. The entire cost invested for the injury must be paid to the buyer as penalty, and when the buyer requests the termination of the contract, he/she shall waive all the down payment as penalty, and terminate the contract. However, when the contract is terminated based on the following special agreement, both parties shall return the down payment and other amount paid without penalty (see Article 3(4) of the above Agreement). Article 4 of the above Agreement is “Article 3” but the above written contract appears to be a clerical error.
The purchaser of the special agreement is aware that there is a loan of approximately KRW 13.50 million, as of June 2017, to the solar power plant within this site, and is entitled to succeed to the loan from the Suhyup Bank at the same time as the remainder payment.
b. The seller shall actively cooperate with all documents necessary for the succession of the loan to the buyer, at the same time as the contract requires by the buyer, to obtain the authorization of solar power plants in this site.
(b)* Change of authorization and permission for F, and new authorization and permission for E (hereinafter referred to as “authorization and permission”).
A. On June 19, 2017, the Plaintiff entered into a sales contract with the Defendant for all of the instant shares owned by the Defendant, with respect to solar power plants and their operating companies (D; hereinafter “D”) located in the public sector owned by the Defendant, with respect to the FT land, the trust registration of which was completed on the New Real Estate Trust Co., Ltd. (hereinafter “New Real Estate Trust”), 28,515 square meters (attached Form 2; hereinafter “instant land”), and the entire D shares owned by the Defendant, with respect to the following:
(2) On June 28, 2017, the Plaintiff deposited the down payment of KRW 47,800,000 to the Defendant’s account pursuant to the said contract.
B. On August 2017, the Plaintiff is using as an access road to the power plant instead of excluding E land from the land subject to the instant sales contract to the Defendant.
