If the defendant fails to pay the above fine, 50,000 won shall be one day.

Article 15(3) of the Articles of Incorporation of the Federation provides that “The Vice-Chairperson shall assist the Chairperson, and the Vice-Chairperson designated by the Chairperson or the Vice-Chairperson designated by the Board of Directors shall act on behalf of the Chairperson,” Article 34(1) and (2) of the Articles of Incorporation of the Federation provides that “The Resolution of the Board of Directors shall require the attendance of the majority of the registered directors, the Resolution of the Board of Directors shall be adopted with the consent of the majority of the members present, and Article 35(2)

On December 11, 2012, Defendant 1, D, E, director F, and G, a member of the board of directors of the CF, made a written resolution to select Defendant as acting for the president in accordance with the articles of association of the CF as H, who was the chairperson of the CF, retired from office. However, such written resolution does not meet the quorum and quorum under the above articles of association and does not constitute an insignificant agenda that may substitute for a resolution by a written board of directors. Accordingly, the Defendant is not entitled to act for the CF chairperson as acting for the president because the written resolution as of December 11, 2012 as of December 11, 2012 is invalid.
