A. On August 2014, the Plaintiff and Defendant C Co., Ltd entered into a contract for the supply of goods (ODM) with the following contents.

Article 1 (Subject Matter and Price) (1) The name of the product, MOEL name, price, etc. of the object supplied by the supplier (the defendant corporation corporation) to the consumer (the plaintiff) in accordance with this Agreement shall be as shown in the attached Form.

(2) The price of an object specified in paragraph (1) shall include all taxes and public charges, transportation expenses, insurance premiums, packing expenses and all other expenses necessary for a supplier to implement this contract, excluding value-added tax.

Article 2 (Orders and Delivery) (1) Consumers shall place an order for the necessary object under the prescribed order form, and the name, quantity, payment period, place of delivery, etc. of the object shall be specified in the order form.

(2) The supplier shall deliver all the objects mentioned in the order sheet sent by the consumer in a lump sum, and shall obtain the prior written consent of the consumer when it is intended to deliver them in installments for unavoidable reasons.

Article 3 (Payment of Price of Supply) The settlement of the price of supply shall be 50% at the time of the order of the product and 50% at the date of delivery of the product in cash.

Article 5 (Quality Assurance) (1) Suppliers shall be liable for any damage incurred due to any defect in the manufacture of this product.

Provided, That it is not limited to the extent that it is not attributable to the supplier's liability, such as that the consumer is based on the cause that occurred after the delivery of the product.

(2) The guarantee period for a product shall be 12 months after payment of the product.

Provided, That it shall be determined on the basis of the ordinary market practice quality standards in the cosmetics industry with respect to the flexible derivatives due to the ordinary changes in color, compost, color, etc. for the goods kept in good management status.

Article 9 (Liability for Products) (1) The supplier shall make every effort to prevent defects in the ordered goods by consumers and shall be responsible for all the duties and responsibilities concerning product liability.
