A. The Defendant is an unincorporated association consisting of private taxi business operators who obtained a private taxi transport business license from Hsi among its members (hereinafter “Defendant branch”), and the Plaintiffs are members of the Defendant branch.

B. Articles of association and election management regulations of the Cheongnam-do Private Passenger Taxi Transportation Business Association, which are superior organizations of Defendant Branch, are as follows:

The general assembly under Article 14 (Composition of General Meeting) of the Articles of Incorporation of the Chungcheongnam-do Private Taxi Transportation Business Association shall be comprised of the president and representatives.

Article 15 (Representatives) Representatives shall be organized as follows:

1. Representatives shall be elected directly by partners from among the members and shall be the full number proportional to the number of partners;

2. The representative shall have one person per 200 persons, and shall be to increase one person when exceeding the number;

Provided, That a branch of less than 200 currently shall be one person.

40(Chapters)In order to ensure the smooth operation of one cooperative, branches may be established by unit of administrative district of Si/Gun under the control of the cooperative.

Article 42 (Members of Branch Offices)

1. Members shall be assigned to a branch established at the seat of an administrative district and shall comply with the provisions based on the articles of incorporation and the rules on the operation of the branch;

Article 43 (Term of Office of Heads and Operation of Branches)

1. The branch office shall have the head, who shall hold office for the head of the branch office for four years and may be reappointed;

2. The head of a branch office shall elect and appoint its members from among those with good reputation among its members and notify the head of a Si/Gun.
