1. The Plaintiff (Counterclaim Defendant) against the Defendant (Counterclaim Plaintiff)

Reasons

1. Basic facts

A. The purpose of the Plaintiff is to produce, supply, and sell broadcasting programs, cultural business, exhibition, performance, entertainment business, etc., and the Defendant is a foundation under Gyeonggi-do-do-affiliated public institutions, which aims to hold cultural events, such as the Global Docles and other cultural events, and to create and operate the Docsama park, based on the “Madroman Park” (hereinafter “Doca parks”) created on the public real estate in the Doca-Gu, Gwangju-si, the Doca-si, the Seoul Special Metropolitan City, which was loaned without compensation from Gyeonggi-do as well as

B. On February 26, 2013, the Defendant entered into an agreement on the cooperation of cultural contents and the detailed business agreement on the operation of cultural contents and cultural facilities (hereinafter “instant agreement”) with the Plaintiff, while promoting private investment in order to revitalize the said park through profit-making business utilizing the instant Do self-park facilities and relics, etc.

2. Period: From March 1, 2013 to February 28, 2014 (one year)

3. Details of agreement;

A. In operating contents in order to revitalize the Do self-park of this case, the Plaintiff and the Defendant jointly plan, develop and operate cultural education contents.

B. The Plaintiff and the Defendant shall fully utilize the facilities and contents held by their trade names and actively cooperate with each other in relation to the exchange and operation of human resources, subject to mutual agreement, on the following matters:

1) Provision of 3) Utilization of infrastructure necessary for various event programs, and consultation 4) support for the exercise of the Defendant’s principal (at the request of the Defendant) development, planning and operation of contents (at the time of the request of the Defendant), a periodical business meeting for the development, planning and operation of contents (as the case may be), for public relations 2) promotion of schools, kindergartens, related institutions or organizations, etc

(c) The term of validity of this Convention shall be one year from the date of signature.

When revising or terminating, it shall be notified to the other party in writing, and the termination of an agreement shall be made.
