Reasons

1. Basic facts

가. 원고는 토목건축공사업, 토지, 건물의 매매 및 임대관리, 부동산 분양 공급업 등을 영위하는 회사, 피고는 부동산 개발, 임대차 등의 방법으로 투자, 운용하여 그 수익을 주주에게 배당하는 것을 목적으로 하는 회사로서, 원고는 2014. 3. 31. 피고로부터 서울 중구 C 건물(이하 ‘이 사건 건물’이라 한다) 중 9층 일부 2,360.6㎡를 보증금 496,172,096원, 차임 월 56,736,516원(VAT 별도), 관리비 월 24,131,621원(VAT 별도), 임대차기간 2014. 4. 1.부터 2017. 3. 31.까지로 정하여 임차하면서, 7층 창고 40.28㎡ 및 11층 창고 40.28㎡를 각 보증금 3,589,163원, 각 이용료 월 779,388원(VAT 별도)으로 정하여, 12층 창고 20.30㎡를 보증금 1,808,839원, 이용료 392,789원(VAT 별도)으로 정하여 함께 임차하였다.

B. Among the terms and conditions of the instant lease agreement, the relevant provisions are as follows, and the cover of the contract is indicated as “a contract confirmation: the principal is fully aware of the terms and conditions of the contract, such as the following, and enters into the contract.” The contractor A (owner), and the Plaintiff’s seal is affixed thereto:

Article 7 (Adjustment of Rental Deposit, Rent, and Management Expenses) ① Rental deposit and rent under Articles 3 and 4 of this Agreement shall be increased at an increase in the rate agreed separately between the lessee and the lessor at the time of the conclusion of this Agreement, every one year from the starting date of the lease agreement.

2. The management expenses under Article 5 of this Agreement shall be raised by the increase rate as of January 1 each year agreed separately by the lessee and the lessor in the special agreement at the time of the conclusion of this Agreement.

Article 8 (Calculation of Rental Fees and Compensation for Delay) (1) The lessor shall not be exempted from the lessee's obligation to pay rent and management expenses even if the lessee does not actually use the leased object.

Article 6 of the Special Agreement: The parties to the special agreement shall terminate the contract.
