1. Basic facts
A. The Defendant entered into a contract with the Plaintiff to transfer to the Plaintiff all rights to the instant company’s property and business in KRW 265,00,000 (hereinafter “instant contract for the transfer of business”) with the name of “D” in the Daegu-gu month C, and the main contents thereof are as follows.
Article 1 The Plaintiff and the Defendant (the instant company) are merged with each other, and the Plaintiff continue to exist, and the Defendant is dissolved.
Article 2 The plaintiff takes over overall matters, such as facilities, goodwill, technology transfer, etc. necessary for business from the defendant in M&A, and transfers and installs the defendant's facilities (out of chemical paints, manual manual, etc.) to the plaintiff's factory, and remodels the plaintiff's automatic nanotechnology so that the plaintiff's automatic nanotechnology can be efficiently automatic work.
To this end, the method of PRGRAM (PT600) is adopted with COPUTS SYS SYM as a stop line remodeling, a stop period INTSFACE TUCHPNNER and PC, and the PRGRAM is modified to the PRM adjustment method.

Article 3: 35,00,000 won (excluding V.A.T.) shall be determined to pay the down payment in cash on February 22, 2012.
Article 4 The first intermediate payment shall be paid KRW 5,000,000 (V.A.T. separate) on March 10, 2012, and the second intermediate shall be paid KRW 45,000,000 (V.A.T. separate) on April 15, 2012, and the third intermediate shall be paid KRW 60,00,000 on May 30, 2012 (V.A.T. separate).
For final remainder 90,000,000 won, 6,000,000 won per month shall be paid on the 30th of each month in installments of 15 months.
Technology transfer expenses and operating expenses, etc. shall be 100.
