1. Basic facts
A. The parties’ related B Co., Ltd. (hereinafter “B”) set the Hanjin Heavy Industries Co., Ltd. (hereinafter “ Hanjin Heavy Industries”) as the contractor and carry out the new construction and sale business (hereinafter “instant business”) of the main complex building on the surface of Jongno-gu Seoul Metropolitan Government, Jongno-gu, and 61 lots of land (E; hereinafter “instant building”). The Plaintiff entered into a sales contract with B on January 28, 2003 for officetels 3 (405, 406, 407) of the instant building.
Defendant Samsung Life Insurance Co., Ltd (hereinafter “Defendant Samsung Life Insurance Co., Ltd”) is a financial institution that lends part payments to the business funds and buyers with respect to the instant project, and Defendant Jongno-gu Seoul Metropolitan Government (hereinafter “Defendant Jongno-gu”) is a local government to which the competent authority in charge of authorization and permission of the instant project and administrative supervision belongs.
B. On August 12, 2002, the development project agreement B entered into a development project agreement on the instant project (hereinafter “instant development project agreement”) with the Hanjin Industries, Defendant Samsung Bio-resources, and the New Real Estate Trust Co., Ltd. (hereinafter “New Trust”), and its main contents are as follows.
Article 4 (Obligation to Apportionment and Cooperation) (1) B, Hanjin Industries, New Trust, and Defendant Samsung Samsung Bio-resources shall share their respective duties and cooperate in good faith for the successful completion of the project and the normal repayment of the loan, and shall be responsible therefor.
(2) The roles and duties of B; 11. Responsibility to pay interest to a buyer until the time an intermediate payment, loan is provided and transfer of ownership is transferred;
