1) The Defendant is an auditor in charge of accounting audit in the year 2010 of Thailand, Inc. (2) The Plaintiffs purchased Thailand Investment Advisory Co., Ltd., Korea Securities Finance Co., Ltd., Han Bank, and L&App., Ltd., together with EM Group’s affiliates.

(A) Around August 8, 2011, the Plaintiffs and TK CKK concluded a stock acquisition agreement with the following content (hereinafter “instant agreement”). Around August 8, 2011, the Plaintiffs and TKKK acquired common shares of KRW 1,639,711 issued by Thai shares from the aforesaid Agythian Investment Advisory, Korea Securities Finance, Han Bank, and L&App, and concluded a stock acquisition agreement with the following terms (hereinafter “instant agreement”).
