A. On September 14, 2010, the Plaintiff entered into a contract for acquisition and transfer of shares and management rights (hereinafter “instant share transfer contract”) with the Plaintiff to sell 13 billion won (hereinafter “instant shares”) of the purchase price to the buyers, 13 billion won of the purchase price (hereinafter “sale price payment”) (hereinafter “instant shares”).

Article 2. Sales Price

1. The purchase price of the stocks of this case which the buyer (the buyer; the same shall apply hereinafter) is obligated to pay to the seller (the plaintiff; the same shall apply hereinafter) shall be 13 billion won;

The purchase price shall consist of down payment, intermediate payment, and remainder.

2.The buyer shall pay the purchase-price prescribed in paragraph 1 of this Article to the seller in the following manner:

1) Contract deposit: The buyer pays to the seller the "this contract" at the same time as the contract deposit, and submits the real estate collateral documents referred to in sub-paragraph 3 of this paragraph. The seller shall immediately deliver 2,393,924 out of the shares of this case to the buyer and without delay a person designated by the buyer as the "business manager". The buyer shall appoint the buyer as the "business manager". The buyer shall appoint the person designated by the buyer as the director and auditor of the Es. Es. E.S. on the date of the completion of the execution and as the buyer shall appoint the buyer as the director and auditor of the Es.S., and it appears that the buyer will be the one day before October 5, 2010, which is the date of the temporary general meeting of shareholders of Es.S., the intermediate payment shall be paid to the seller at the time of the receipt of the intermediate payment, and the seller shall pay at the time of the receipt of the intermediate payment.
